1. Agreement
These terms govern your use of LicenseBriefcase (the "Service"), operated by [Legal entity name]. By creating an
account or using the Service you agree to them. If you do not agree, do not use the Service.
2. What the Service is — and what it is not
The Service is a record-keeping tool. It does not keep your license valid.
- You remain solely responsible for maintaining valid licensure, registration, certification, insurance, and any other requirement that applies to your practice. That duty is yours and cannot be delegated to software.
- Reminders and expiry alerts are a convenience, not a guarantee. They may be delayed, mis-delivered, or wrong — including because a date you entered was wrong. Do not rely on them as your only tracking mechanism.
- The Service is not primary-source verification. Records in your briefcase are self-reported by you unless a specific feature states otherwise. A hospital, insurer, payer, or credentialing body that requires primary-source verification must obtain it from the issuing authority. Nothing in the Service satisfies that obligation for them or for you.
- Status indicators, badges, or the word "verified" as it may appear in the interface describe the state of a record inside the Service. They are not an attestation by [Legal entity name] that a credential is currently valid, unrestricted, or in good standing.
- The Service does not provide legal, medical, regulatory, credentialing, or compliance advice.
3. Eligibility and your account
- You must be able to form a binding contract and be at least [Minimum age].
- You are responsible for the accuracy of what you enter and for keeping your sign-in credentials secure.
- You are responsible for activity under your account. Notify us promptly of any suspected compromise via the
security route on the Support page.
- Authentication may be handled through our identity provider (Keycloak at auth.pnebula.com) or an SSO provider
you choose.
4. Your data and your ownership
You retain all rights in the credential records and documents you put into the Service. You grant
[Legal entity name] only the limited licence needed to host, encrypt, back up, display, and transmit that content
in order to operate the Service for you, including generating the share links you ask for.
Your record is yours, not your employer's. Sharing a record with a facility, agency, or
credentialing body does not transfer ownership or control of your briefcase to them.
5. Sharing and invitations
- Share links are issued at your instruction and expire. You choose the recipient and the scope.
- Treat a share link like the credential itself: anyone holding a live link within its scope and lifetime can
view what you shared. Do not post links publicly or forward them onward.
- Once a recipient has seen shared information, we cannot retract it from their records.
- You must have the right to share whatever you share, and you must not share another person's credentials
without their authorisation.
6. Acceptable use
You must not:
- Enter, upload, or share credentials that are not yours, or impersonate another practitioner.
- Falsify, alter, or fabricate a credential record, document, date, or status, or use the Service to
misrepresent your qualifications to an employer, payer, patient, board, or anyone else.
- Store patient information or protected health information in the Service. It is not intended for that and you
must not use it that way.
- Use the Service to conduct background, licensure, or sanctions checks on third parties without a lawful basis
and their authorisation.
- Attempt to access another user's briefcase, probe or breach security or authentication measures, or bypass
plan limits or rate limits.
- Scrape, resell, sublicense, or white-label the Service, or use it to build a competing service.
- Upload malware, or content that is unlawful or infringing.
- Use automated access, including AI assistants or connectors, in a way that exceeds your plan's limits or that
exposes another user's data.
We may suspend or terminate an account for a material or repeated breach, and may act immediately where there is
a risk to other users, to the integrity of credential records, or to the Service.
7. Plans, billing, and cancellation
- An individual plan is offered at no charge. Paid plans are billed in advance on a recurring basis at the
price shown at purchase.
- Billing and payment are processed by Stripe. Checkout happens on Stripe's own hosted page in
a browser. We do not receive or store your full card details.
- Where a free trial is offered, its length and terms are those stated at signup. Unless cancelled before the
trial ends, the plan converts to a paid subscription.
- You can cancel at any time. Cancellation stops future renewals and takes effect at the end
of the current billing period; the plan remains available until then.
- Refunds: [Refund policy].
- Taxes may be added where applicable. Prices may change on [Notice period] notice, effective at your next
renewal.
- Failed payment may result in downgrade to the free plan. We will not delete your credential records solely
because a payment failed, but paid features may become unavailable.
- Downgrading may restrict features such as sharing volume. Export your data before downgrading or closing
your account if you want a copy.

8. Availability and changes
We aim to keep the Service available but do not commit to an uptime level unless a separate written agreement says
so. We may modify, add, or discontinue features. If we materially reduce a paid feature you rely on, we will give

9. Termination and export
You may stop using the Service and delete your account at any time. Before you do, export your records — deletion
is intended to be real. After termination we will delete or de-identify your data in line with our
Privacy Policy and the retention periods stated there.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of
any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and
any warranty as to the accuracy, completeness, currency, or regulatory sufficiency of any record, reminder, or
status shown in the Service. Some jurisdictions do not allow certain exclusions, in which case they may not apply
to you.
11. Limitation of liability
To the maximum extent permitted by law, [Legal entity name] will not be liable for indirect, incidental, special,
consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost income, loss of
employment or privileges, regulatory or disciplinary consequences, fines, or the cost of reconstructing records,
arising out of or relating to the Service.
Our aggregate liability for all claims relating to the Service will not exceed [Liability cap — e.g. amounts paid

12. Indemnity
